The specific scope, deliverables, timelines, and fees for services will be defined in separate service agreements, statements of work, or proposals. We reserve the right to modify or discontinue any service with reasonable notice.
As a user of our Website and Services, you agree: (a) not to use our Services for any unlawful purpose or in violation of applicable laws; (b) not to interfere with the proper functioning of our systems, networks, or services; (c) not to attempt to gain unauthorized access to any part of our systems; (d) not to transmit malicious code, viruses, or harmful content; (e) not to engage in data scraping, mining, or extraction without written consent; (f) to respect the intellectual property rights of the Company and third parties; (g) to comply with all applicable export and import control laws; (h) to cooperate fully with us in investigating and resolving any policy or security violations.

Unless otherwise agreed: (a) invoices are due within 30 days of receipt; (b) late payments may incur interest at 1.5 percent per month or the maximum rate permitted by applicable law; (c) all fees are in United States dollars unless otherwise specified; (d) you are responsible for applicable taxes and duties; (e) payment obligations are non-cancelable and fees paid are non-refundable except as expressly provided; (f) we reserve the right to suspend services for non-payment after written notice; (g) billing disputes must be raised in writing within 15 days of the invoice date.
(a) Ownership — All intellectual property rights in our Website, Services, proprietary methodologies, software tools, frameworks, designs, and documentation remain the exclusive property of JUM CONSTRUCTION LLC or our licensors; (b) License — Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Website and Services for their intended business purposes; (c) Deliverables — Upon full payment for custom services, you receive ownership of specific deliverables created expressly for you, excluding our pre-existing intellectual property and tools; (d) Restrictions — You may not copy, modify, reverse engineer, distribute, sell, or create derivative works from our proprietary materials without prior written permission.
Both parties agree to maintain the confidentiality of proprietary information disclosed during the business relationship. Confidential information includes technical specifications, system designs, business plans, financial data, trade secrets, client lists, software code, and information marked as confidential. Each party agrees: (a) to use confidential information solely for the purpose of the business relationship; (b) to limit access to personnel with a legitimate need to know; (c) to protect confidential information using reasonable security measures; (d) to return or destroy confidential information upon request or termination of the agreement. These obligations survive termination.
To the maximum extent permitted by law: (a) JUM CONSTRUCTION LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption; (b) our total aggregate liability for any claim arising from these terms or our Services shall not exceed the total fees paid by you in the twelve months preceding the claim; (c) these limitations apply regardless of the theory of liability; (d) we are not liable for damages caused by factors beyond our reasonable control. Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless JUM CONSTRUCTION LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising from: (a) your use of our Website or Services in violation of these terms; (b) your violation of applicable laws or third-party rights; (c) any content you submit through our Services; (d) your gross negligence or willful misconduct. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any legal action arising under these terms shall be brought exclusively in the courts of Salt Lake County, Utah. By using our Services, you submit to the personal jurisdiction of such courts.

The prevailing party shall be entitled to recover reasonable legal costs.
